These Terms of Service ("Terms") govern your access and use of our website www.uniorange.es and all products and services offered by Uniorange Spain (operated by The Atlas Group Holdings, hereinafter "Uniorange," "we," "us," or "our"). By accessing or using our website, you agree to be bound by these Terms, which incorporate and are subject to applicable EU and Spanish consumer protection laws. If you do not agree to these Terms, you must not use our website.

1. Website Use & User Account

• Eligibility: You must be at least 18 years old to use our website and make purchases. By using our website, you confirm that you meet this age requirement.

• Account: You are not required to create an account to make a purchase. However, creating an account may facilitate order tracking and access to your purchase history. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

• User Conduct: You agree not to use the website for any unlawful purpose or any purpose prohibited by these Terms. You must not interfere with the proper working of the website, attempt to gain unauthorized access to any part of the website, or transmit any harmful code or material.

2. Product and Service Information

• Description: We strive to display product descriptions, images, and prices as accurately as possible. However, we do not warrant that product descriptions or any other content on the website are entirely accurate, complete, reliable, current, or free from error. Product packaging and appearance may vary slightly from images shown.

• Availability: All products are subject to availability. We reserve the right to limit the quantities of products we sell. In the event a product is unavailable after an order has been placed, we will inform you and offer a suitable alternative or a full refund.

• Intended Use: Our products are designed for personal, non-commercial use, as described in their respective manuals and specifications. Any misuse or use not in accordance with manufacturer instructions may void any voluntary warranty provided by us. Please note that this does not affect your statutory rights under applicable consumer protection laws regarding product conformity and liability for defects.

3. Pricing & Payment

• Pricing: All prices displayed on our website are stated in Euros (€) and include VAT (Impuesto sobre el Valor Añadido) where applicable, as required by Spanish and EU law. Shipping costs, if any, will be calculated and displayed at checkout before you finalize your purchase.

• Payment: Full payment is required at the time of order. We use secure, encrypted payment gateways for all transactions. By providing your payment card details or choosing an alternative payment method, you confirm that you are authorized to use the designated payment method.

4. Shipping & Delivery

• Order Processing: Orders are typically processed within 1-2 business days.

• Shipping: We currently ship to addresses within Spain and other countries in the European Union. Shipping costs and estimated delivery times will be calculated and displayed at checkout. Delivery times are estimates and not guaranteed, but we aim to deliver orders within the statutory period of 30 days unless a longer period is expressly agreed upon during the purchase process.

• Risk of Loss: The risk of loss or damage to items purchased from Uniorange transfers to you only when you, or a third party indicated by you (other than the carrier), have taken physical possession of the goods. This means we are responsible for the goods during transit until they are in your hands.

5. Returns & Refunds (Right of Withdrawal)

As a consumer in the European Union, you have the right to withdraw from your purchase contract without giving any reason within 14 calendar days from the day you, or a third party indicated by you, acquires physical possession of the goods.

This policy is drafted in accordance with EU Directive 2011/83/EU on consumer rights and relevant Spanish regulations.

6. Warranty & Guarantees

Our products come with a statutory legal guarantee of conformity as required by Spanish and EU consumer protection laws. This guarantee ensures that the product is fit for its purpose, corresponds to its description, and performs as reasonably expected. The legal guarantee period in Spain is currently three (3) years for products purchased from January 1, 2022, onwards.

7. Intellectual Property

All content on this website, including text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations, is the property of Uniorange Spain or its content suppliers and is protected by EU and international intellectual property laws, including Spanish law, particularly copyright, trademark, and database rights.

8. Disclaimers

The website is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Uniorange makes no representations or warranties of any kind, express or implied, as to the operation of the website or the information, content, materials, or products included on this website. This disclaimer does not affect your statutory consumer rights, including the legal guarantee of conformity for products purchased.

Uniorange does not warrant that the website will be uninterrupted, secure, or error-free, nor that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Uniorange will not be liable for any damages of any kind arising from the use of this website or from the purchase of products from this website, including, but not limited to, direct, indirect, incidental, punitive, and consequential damages.

However, nothing in these Terms shall limit or exclude our liability for:

• Death or personal injury caused by our negligence.

• Fraud or fraudulent misrepresentation.

• Breach of your statutory rights as a consumer.

• Defective products under applicable product liability law.

• Any other liability that cannot be limited or excluded under applicable mandatory law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Uniorange and its affiliates, owners, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms by you or any activity related to your account.

11. Governing Law & Dispute Resolution

• Governing Law: These Terms are governed by and construed in accordance with the laws of Spain and the European Union.

• Dispute Resolution: Any dispute arising out of or relating to these Terms or your use of our website and products shall be submitted to the exclusive jurisdiction of the Spanish courts, particularly those of the consumer's place of residence (if in Spain), as per applicable consumer protection laws.

• Online Dispute Resolution (ODR): As per EU regulations, consumers can access the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes arising from online purchases. You can find the ODR platform here: https://ec.europa.eu/consumers/odr. We are not obliged to participate in an alternative dispute resolution procedure before an arbitration board for consumers.
